01The agreement

These Terms of Service (“Terms”) form a binding agreement between you (“you”) and FolioCenter (“FolioCenter”, “we”, “us”) governing your use of the FolioCenter website at www.foliocenter.com and the application at app.foliocenter.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

02What FolioCenter is

FolioCenter is a software tool that helps retail investors track portfolios across brokers, currencies and asset classes, import transactions from broker files, and view performance and analytics — including time-weighted (TWROR) and money-weighted (IRR) returns. The Service is an informational and analytical tool only. It is not a broker, bank, custodian, or financial institution; it does not hold your money or assets and it does not execute trades.

04Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using FolioCenter you confirm that you meet these requirements and that the information you provide is accurate.

05Your account

• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You agree to provide accurate account information and to keep it up to date.
• You must notify us promptly at support@foliocenter.com if you suspect unauthorised use of your account.
• You may not share your account, or use someone else’s, without permission.

06Your data & content

You retain all ownership of the portfolio data and files you put into the Service (“Your Content”). You grant FolioCenter a limited licence to host, process and display Your Content solely to operate and improve the Service for you, as described in our Privacy Policy.

You are responsible for the accuracy of the data you enter or import, and for ensuring you have the right to upload any file you provide. You can export or delete Your Content at any time from within the application.

07Plans, pricing & billing

FolioCenter is offered on a net-asset-value (NAV) based model:

• NAV threshold. The Starter tier is free for as long as your total NAV stays at or below €100,000. If your NAV exceeds that threshold, an Investor subscription is required to continue using the Service in full; we will notify you before any change takes effect.
• Renewal. Paid subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You authorise us (through our payment processor) to charge your payment method on each renewal.
• Price changes. We may change prices or plan limits. We will give you reasonable advance notice, and changes take effect at your next renewal.
• Taxes. Prices are stated exclusive of any applicable taxes (such as VAT), which will be added where required.
• Payment. Payments are handled by a third-party payment processor; FolioCenter does not store your full card details.

08Cancellation & refunds

You can cancel your subscription at any time from your account settings. Cancellation stops future renewals; you keep Investor features until the end of the period you have already paid for.

If you are a consumer in the EU, you have a statutory right to withdraw from a purchase within 14 days. Because the Service is digital content supplied immediately, by starting to use a paid feature within that period you acknowledge that you may lose this right of withdrawal once the service has been fully provided. Nothing in these Terms affects your mandatory statutory consumer rights.

09Acceptable use

You agree not to:

• use the Service unlawfully, or to infringe anyone’s rights;
• attempt to access accounts, data or systems that are not yours;
• probe, scan, overload, or disrupt the Service or its infrastructure;
• reverse-engineer, copy, resell or create derivative works from the Service, except as the law expressly permits;
• scrape or extract data through automated means beyond the features we provide;
• upload malware, or content that is unlawful or that you have no right to upload.

10Intellectual property

The Service, including its software, design, branding, “FolioCenter” name and logo, and all related content (other than Your Content and third-party data), is owned by FolioCenter and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal portfolio management in accordance with these Terms. No other rights are granted.

11Third-party data & services

The Service relies on third parties — including your broker’s exported files and market & reference data providers. We do not control and are not responsible for the accuracy, completeness, timeliness or availability of third-party data, or for the services of your broker. Your use of any third-party service is governed by that party’s own terms.

12Availability & “as is”

We work to keep the Service available and accurate, but we provide it on an “as is” and “as available” basis. We may modify, suspend or discontinue features, perform maintenance, or release beta features that may be incomplete. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free, or that any figure it produces is accurate.

13Limitation of liability

To the fullest extent permitted by law, FolioCenter will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, investment losses, lost data, or loss of goodwill, arising out of or relating to your use of (or inability to use) the Service — including any reliance on figures or analytics it produces.

Where liability cannot be excluded, our total aggregate liability to you is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or €100. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, or death or personal injury caused by negligence), or your mandatory consumer rights.

14Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; we will give you a reasonable opportunity to export Your Content unless the law or a serious breach prevents it. Sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and governing law) continue after termination.

15Changes to the service & terms

We may update these Terms from time to time. When changes are material, we will update the “Last updated” date and notify you by email or in the application before they take effect. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, you should stop using the Service and may close your account.

16Governing law & disputes

These Terms are governed by the laws of Portugal, without regard to conflict-of-law rules. The courts of Portugal have jurisdiction over any dispute, except where mandatory consumer-protection law lets you bring proceedings in your country of residence. EU consumers may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the rest remain in effect.
• No waiver. Our not enforcing a right is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them to a successor (for example, in a merger or acquisition).
